Article I – Name

The organization shall be called Wenatchee Banshees Hockey. 

Article II – Purpose

To provide and promote opportunities for women to participate in the sport of ice hockey in the Wenatchee area.

To develop and maintain a program structured to serve the best interests of all participants.

To ensure participation in a safe, positive environment of fair play and equality.

To provide a non threatening atmosphere that encourages fun and camaraderie.

Article III – Membership

Membership in the organization is open to all women 18 years and older who pay an annual nominal membership fee and comply with team rules.  Women under the age of 18 must apply to the board for membership.  Approval is at the discretion of the board.  A parent or guardian must sign a Parental Consent form for members under the age of 18.

Membership will entitle each player to one vote on all organization matters that require a membership vote, such as the election of officers or ratification of a decision.

Membership will entitle each member to attend and add agenda items to general meetings and board meetings.

Membership fees will be set annually by the Board of Directors.

Members must be registered with USA Hockey.

Membership season will coincide with the organization’s fiscal year. 

Article IV – Board Members

Board elections shall be held during the general meeting at the end of the season.  Members may vote in absentia.

Each board term will be for a length of 2 years. 

The elected officers of Wenatchee Banshees Hockey shall form a Board of Directors and shall consist of the following: Secretary/Registrar, Treasurer, Communications Coordinator.  Primary duties of each position are listed below.  Duties listed are not comprehensive, but are a general guideline for each position.  There must be a quorum present for transacting team business.

Secretary/Registrar

  • records the official minutes of all organization meetings and distributes them to the general membership
  • tracks team membership and attendance
  • tracks USA Hockey membership to ensure that all members and non-member skaters have registered

Treasurer

  • maintains and monitors the organization’s monies
  • processes all payables and receivables of the organization
  • presents a written report of the financial condition of the organization at each board or general meeting.

Communications Coordinator

  • maintains the lines of communication between board members, club members and the community
  • shall be involved with telephone, email, and newsletter communications, along with networking and answering questions
  • updates the website (either directly or working with the webmaster)
  • ensures that she or a team representative attends ice-users meetings 

Other Duties of the Board

  • research fundraising opportunities
  • contact and coordinate with fundraiser sources (ie; the owner of Garlinis, Parks dept, etc)
  • gather and document necessary information/requirements for each fundraiser and communicate necessary information to the team– dates/times, material and volunteer requirements, location, set-up/tear-down requirements, estimated costs, permits, training, etc.
  • solicit volunteers and coordinate volunteer schedule

If a board member vacates a position prior to the end of their term, the remaining board members may, at their discretion, leave the position vacant until the next scheduled election, or call a special election to fill the position.

Article V – Committees

Committees may be appointed by the Board as they become necessary.  Committee chairs shall report directly to the board.

Board members are eligible to chair or participate in a committee. 

Article VI – Meetings

The board of directors shall meet monthly or as determined necessary.  Board meetings are open to all members.

There will be two general membership meetings per year.   They will be at the beginning of the season and end of the season.

Additional general meetings will be called as necessary.

Any decisions brought to a vote of the membership will be decided by a simple majority of the members.

Article VII – Fiscal Year

The fiscal year for Wenatchee Banshees Hockey shall begin on the first day of June and end on the thirty-first day of May.

Article VIII – Removal of Board Members, Members, or Coaches        

Removal of a board member, member, or coach requires a two-thirds majority vote by the members in attendance at a general membership meeting or a special meeting of the team and those voting in absentia.  The board member, member, or coach subject to such action shall be notified in writing at least twenty (20) days in advance of such action.  Such notice shall state the cause of the intended removal.  At the meeting the board member, member, or coach shall be entitled to respond to the stated reasons and be heard in his/her own defense.

Members may vote in absentia by submitting their vote in a sealed double envelope.   If the member submitting a ballot wishes to remain anonymous, the ballot should be sealed in an unmarked envelope.  That envelope should be sealed in another envelope and signed by the member submitting the vote.

Article IX – Amendments

Amendments to these bylaws may be proposed by the board of directors or recommended to the officers by a member.

Such proposals shall be presented to the members of Wenatchee Banshees Hockey at the next general membership meeting.

All proposals must be in written form and shall be distributed to the membership at least two weeks prior to the general meeting.

Adoption of an amendment to these bylaws requires a two-thirds majority vote by the members in attendance and those voting in absentia at the general membership meeting.
